These Driver Terms & Conditions (???Terms???) govern access to and use of the Rapido Place to Place driver platform, app, dispatch tools, website, and related services (collectively, the ???Platform???) by any driver, applicant, operator, or user accessing the Platform as a driver (???Driver,??? ???you,??? or ???your???).
By registering, logging in, going online, accepting ride offers, completing rides, communicating through the Platform, or otherwise using the Platform, you agree to be bound by these Terms.
1. Independent Contractor Relationship
Drivers using Rapido Place to Place operate as independent contractors. Nothing in these Terms creates any employment, partnership, joint venture, franchise, agency, or employer-employee relationship between Rapido and any Driver.
Drivers are fully responsible for their own:
Rapido does not provide vehicles and does not guarantee work schedules, ride volume, or earnings.
2. Platform Role
Rapido Place to Place provides a technology platform that connects drivers with ride opportunities and facilitates ride-related communications, dispatch, routing information, operational records, and payment-related workflows.
Rapido is not a transportation carrier and does not itself operate vehicles through the Driver???s account. Drivers remain responsible for the actual provision of transportation services, vehicle operation, and legal compliance.
3. Eligibility and Account Approval
To use the Platform as a Driver, you must meet Rapido???s eligibility requirements and provide accurate and complete information requested by Rapido.
Rapido may require, verify, or review:
Rapido may approve, deny, suspend, restrict, or deactivate any driver account at its discretion, subject to applicable law.
4. Driver Availability and Online Status
Drivers control their availability through the Platform.
Drivers are responsible for accurately managing their status. Going offline, becoming unreachable, or failing to maintain operational readiness may affect ride opportunities, account standing, or dispatch priority.
5. GPS, Device, and App Requirements
While online or actively using driver features, Drivers must:
Inaccurate GPS, disabled location sharing, or use of unsupported methods that interfere with tracking, dispatch, or ride flow may result in missed ride offers, payment issues, suspension, or account deactivation.
6. Ride Offer System and Dispatch Logic
Ride offers are distributed through the Platform according to operational rules established by Rapido, which may include driver availability, proximity, live location, route logic, market conditions, system rules, and other dispatch-related factors.
Drivers must:
Ride offers may be rotated among drivers based on Platform rules. Rapido does not guarantee that every Driver will receive the same number of offers, equal dispatch priority, or access to specific ride volumes.
7. Acceptance Commitment and Ride Flow
Once a Driver accepts a ride, the Driver is committed to performing the ride unless a valid reason exists for cancellation.
After accepting a ride, the Driver must follow the operational ride flow required by the Platform, including as applicable:
Drivers should only accept rides they are willing and able to complete. Unjustified cancellations, abandonment of accepted rides, failure to proceed, or failure to follow the required flow may result in reduced ride access, payment review, suspension, or deactivation.
8. Driver Earnings, Ride Pay, and Payout Transparency
Before accepting a ride, the Platform may show the Driver ride-related information, which may include pickup location, dropoff location, estimated distance, estimated time, ride type, payment method, and estimated Driver payout.
The amount shown to the Driver before acceptance is intended to help the Driver make an informed decision about whether to accept or decline the ride. Driver payout may be calculated based on Rapido???s current platform rules, which may include one or more of the following:
base ride amount
mileage-based amount
time-based amount
wait-time amount
additional stop amount
surge, bonus, or market-condition amount
minimum payout subsidy
customer tip, if applicable
platform adjustments or corrections
approved deductions, offsets, or back charges
Rapido may display the customer fare and Driver payout separately. The customer fare is not always the same as Driver earnings. Rapido may retain a platform/service portion, administrative portion, processing-related amount, or other company amount as allowed by the Platform rules and applicable law.
For card or electronic-payment rides, Driver earnings will be recorded through the Platform and may become available for payout after the ride is completed, reviewed, settled, and processed.
For approved cash rides, the Driver may be required to collect the authorized cash amount from the customer. Cash collected by the Driver may include amounts that belong to Rapido, including company share, platform fees, cash membership payments, corrections, or other approved charges. Amounts collected by the Driver that belong to Rapido are not Driver earnings and may be recorded as cash liability or a negative balance owed by the Driver to Rapido.
Driver payouts may be subject to review, correction, hold, offset, or adjustment for reasons including, but not limited to, ride errors, customer refunds, payment disputes, cash shortages, overpayments, fraud concerns, incomplete ride flow, cancellation issues, cleaning fees, membership cash collections, or other account corrections.
Rapido does not guarantee any minimum number of rides, any minimum amount of earnings, any specific payout amount, or continued access to ride opportunities. Final payout records are determined by Rapido???s system records, ride records, payment records, and settlement records.
How Driver Pay Works
Rapido drivers are independent contractors. Drivers can choose when to go online and whether to accept or decline available ride offers.
Before accepting a ride, the driver app may show ride details such as pickup, dropoff, estimated distance, estimated time, payment method, and estimated driver payout.
Driver pay may include base pay, mileage, time, wait time, additional stops, tips, bonuses, surge or condition-based adjustments, and Rapido minimum-payout support when applicable. Final pay may be adjusted if a ride is canceled, changed, disputed, incorrectly completed, refunded, or requires correction.
For card rides, customer payment is processed through the Platform and driver earnings are recorded for payout after the ride is completed and settled.
For cash rides, the driver may collect the approved cash amount from the customer. Some cash collected may belong to Rapido, including company share, platform amounts, or membership payments collected in cash. Those amounts are recorded as money owed to Rapido and may be settled through the driver???s cash balance, future earnings, or other approved recovery methods.
Rapido does not guarantee a minimum number of rides or a specific income amount. Earnings depend on ride demand, driver availability, accepted rides, location, customer activity, market conditions, and platform rules.
9. Approved Payment Methods and Driver Financial Information
As a condition of access to the Platform, Drivers must provide and maintain valid financial information requested by Rapido, which may include:
Drivers are responsible for keeping all such information accurate, current, and usable.
If a payment method or bank account becomes invalid, blocked, closed, expired, declined, or otherwise unusable, the Driver remains fully responsible for all balances owed to Rapido.
10. Approved Cash Rides, Settlement, and Back Charges
Rapido may permit some rides to be handled as approved cash rides. Drivers may collect cash onlywhen the ride is expressly designated by Rapido as an approved cash ride through the Platform or through authorized dispatch instructions.
For any approved cash ride:
The Driver authorizes Rapido to recover, charge, debit, offset, or otherwise collect any valid amount owed to Rapido arising from use of the Platform, including through:
Amounts that may be recovered include, without limitation:
If a customer purchases or activates a Rapido membership during an approved cash ride, the Driver may be instructed through the Platform to collect the membership amount from the customer together with the ride fare.
The membership amount is company money owed to Rapido. It is not Driver earnings, does not increase Driver payout, and may be recorded as part of the Driver???s cash liability or negative balance owed to Rapido.
For example, if the approved cash ride fare is $12.00 and the customer also purchases a $9.99 membership, the customer may owe $21.99 in total cash to the Driver. The membership portion remains owed to Rapido and may be collected, offset, debited, or deducted through the Driver???s settlement balance, future earnings, card on file, bank account, or other lawful recovery method authorized by these Terms.
If the ride is canceled, expired, not completed, or the membership collection is not confirmed according to Platform records, Rapido may decline, delay, reverse, or review the membership activation and related settlement entry.
11. Settlement Deadline and Company Demand for Payment
Any amount owed by a Driver to Rapido must be settled upon request by the company.
Rapido may require immediate settlement or may set a specific deadline for payment. Unless Rapido states a shorter deadline, all outstanding balances must be fully settled no later than three (3) calendar daysafter notice is given by Rapido.
If Rapido requests payment or settlement, the Driver agrees to promptly comply. Failure to settle any amount owed within the required period may result in:
A failed card charge, returned bank debit, rejected payment, or unsuccessful recovery attempt does not eliminate the underlying debt.
12. Customer Payments and Off-Platform Transactions
Drivers are not authorized to:
Unauthorized payment handling or fare negotiation may result in immediate suspension or permanent removal from the Platform.
13. Cancellations, No-Shows, and Payment Adjustments
Drivers should avoid canceling rides after acceptance. If cancellation is necessary, it must be for a valid reason.
If a customer is not present or cannot be located, the Driver must follow platform or dispatch instructions and may cancel only when permitted by the system or authorized procedures.
Rapido may determine whether any cancellation fee, no-show amount, wait-related amount, customer charge, cash adjustment, payout adjustment, or other related correction applies.
Excessive cancellations, strategic cancellations, misuse of cancellation rules, or false no-show claims may result in payment reversal, suspension, or deactivation.
14. Customer Interaction and Professional Conduct
Drivers are expected to:
Drivers may communicate with customers only through approved or authorized channels related to ride coordination and service.
15. Vehicle, Safety, Cleanliness, and Legal Compliance
Drivers are fully responsible for ensuring that their vehicle is safe, clean, properly insured, properly registered, and suitable for transporting passengers.
To be considered for approval and continued access to the Platform, the Driver???s vehicle must meet Rapido???s minimum vehicle standards, including:
Vehicle must be model year 2005 or newer, unless Rapido approves an exception in writing.
Vehicle must be clean, presentable, and safe for passenger transportation.
Vehicle must be free from major visible damage, including severe body damage, broken exterior parts, unsafe doors, cracked or unsafe windows, or other conditions that may affect passenger safety, identification, or comfort.
Vehicle interior must be clean, well-maintained, and free from excessive stains, trash, odors, pests, or unsanitary conditions.
Vehicle must be smoke-free and free from strong odors, including smoke, chemicals, mildew, or other unpleasant smells.
Vehicle must have valid registration, valid insurance, and a license plate matching the submitted application information.
Driver must maintain all licenses, insurance, registrations, permits, and legal requirements applicable to the Driver and vehicle.
Rapido may require vehicle photos during application, review, renewal, investigation, or account update. Required photos may include:
Front of vehicle
Rear of vehicle
Driver side
Passenger side
Interior front seats/dashboard area
Interior rear passenger seating area
The Driver understands and agrees that approved vehicle photos, including the front/exterior vehicle photo, may be shown in the Rapido customer app or customer-facing tools to help customers identify the assigned vehicle during pickup.
Rapido may review vehicle photos, documents, customer feedback, safety concerns, cleanliness complaints, odor complaints, and other operational information at any time. Rapido may deny, suspend, restrict, or remove a vehicle from the Platform if it does not meet safety, appearance, cleanliness, odor, insurance, registration, legal, or customer-service standards.
By applying, going online, or accepting rides, the Driver confirms that the vehicle being used is safe, clean, properly insured, properly registered, smoke-free, and suitable for passenger transportation.
16. Navigation Responsibility
The Platform may provide pickup, dropoff, address, or location information, but route execution remains the Driver???s responsibility.
Drivers are responsible for navigating to pickup and dropoff locations using their own judgment and, where applicable, external tools such as Google Maps or other navigation tools.
Drivers remain responsible for safe driving at all times and may not rely on any app display or mapping output as a substitute for lawful and safe vehicle operation.
17. Prohibited Conduct
Drivers are strictly prohibited from:
Violations may result in immediate suspension or permanent deactivation.
18. Account Status, Enforcement, and Remedies
Rapido reserves the right to investigate conduct, review records, and take corrective action regarding any driver account.
Rapido may suspend, restrict, hold payouts, offset balances, or deactivate a Driver account for reasons including, without limitation:
Rapido???s rights under these Terms are cumulative and may be exercised in addition to any other lawful remedies.
19. Service Limitations and No Guarantee
Rapido does not guarantee:
System performance may vary based on demand, geography, weather, customer activity, driver coverage, technical issues, business decisions, and other external factors.
20. Liability Disclaimer
To the maximum extent permitted by law, Rapido is not liable for losses, damages, claims, injuries, delays, interruptions, or incidents arising out of or related to:
Drivers assume full responsibility for their own conduct, operations, vehicle use, and legal compliance.
21. Indemnification
To the fullest extent permitted by law, Drivers agree to defend, indemnify, and hold harmless Rapido, its owners, operators, affiliates, agents, staff, and representatives from claims, liabilities, damages, losses, costs, and expenses arising out of or related to:

Rapido may revise these Terms at any time. Updated Terms may be posted in the app, on the website, through onboarding materials, or through other official company channels.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

24. Driver Identity, SSN, Tax, and Payment Information
Rapido may require Drivers or applicants to provide sensitive information, including Social Security Number, date of birth, driver???s license information, payment information, banking information, and related identity information.
A Social Security Number may be required for identity verification, background screening, tax reporting purposes, W-9 or tax documentation, and payment/bank transfer setup. This information is used only for eligibility review, compliance, tax documentation, background screening, fraud prevention, account verification, and Driver payment processing.
Drivers must provide accurate information. False, incomplete, misleading, or unverifiable information may result in denial, suspension, restriction, deactivation, payment hold, or further review.
Rapido may limit access to sensitive information and may use administrative review controls, verification procedures, and other security measures to protect Driver information, subject to applicable law.
