Terms and Conditions
1. Acceptance of Terms and Platform Nature of Service
Rapido Place to Place is a technology platform that helps customers request and manage rides with independent third-party drivers. By
creating or reopening a Rapido account, verifying your phone number, accepting the customer legal documents, saving or using a payment
method, requesting a ride, messaging through the platform, or otherwise using the service, you agree to these Terms.
??? Rapido is not a common carrier and does not itself operate the driver's vehicle unless expressly stated in a separate written agreement.
??? Ride availability, timing, and driver assignment depend on location, demand, driver coverage, system rules, and other operating
conditions.
2. Customer Accounts, Phone Verification, and Device Access
Rapido currently requires riders to sign in before requesting a ride. The account flow may include phone verification, profile completion,
acceptance of terms, and a quick PIN or device-unlock step for faster return access on the same device.
??? You must provide accurate account and contact information.
??? You are responsible for maintaining control of your device, your account, and any PIN or unlock method tied to your account.
??? Rapido may suspend, limit, or close accounts that appear fraudulent, abusive, unsafe, or inconsistent with platform rules.
3. Independent Drivers
Drivers using Rapido are independent third parties. Vehicle condition, route choices, on-road conduct, and direct vehicle operation are
primarily under the control of the driver operating the vehicle.
??? Rapido may review complaints, suspend or remove drivers, and preserve ride evidence when safety or misconduct issues are reported.
??? Rapido does not guarantee the future conduct of any rider or driver.
4. Ride Requests, Matching, and Service Availability
When you submit a ride request, the platform creates a backend ride record and uses Rapido's dispatch logic to seek a driver. A ride request
may expire, be declined, be reassigned, or be canceled if no driver is secured in time.
??? Submitting a ride request does not guarantee that a driver will be assigned.
??? Rapido may rotate ride offers among drivers according to platform rules.
??? You must verify pickup and dropoff details and promptly communicate any critical coordination issue through approved channels.
5. Pricing Estimates, Fare Components, Membership Pricing, and High-Demand Pricing
Rapido may show an estimated fare before a ride is requested. Estimated pricing is based on the pickup location, dropoff location, estimated route, estimated distance, estimated travel time, customer membership status, payment method, and applicable platform pricing rules available at the time of the estimate.
Rapido???s goal is to provide customers with clear and transparent pricing before they request a ride. However, the estimate shown is not a final guaranteed fare. The final fare may change if the ride details change or if additional billable conditions apply.
Fare calculations may include one or more of the following:
Minimum Fare Pricing
Some short local rides may qualify for minimum fare pricing.
Rapido Members may receive short qualifying rides under the eligible distance range starting as low as $5.00, depending on current platform rules, ride conditions, and service availability.
Non-member rides may be subject to a standard minimum fare, currently starting at $8.00under current pricing logic.
Minimum fare pricing is intended to make short local rides clear and predictable, while still supporting driver availability and platform operation.
Membership Pricing
Rapido membership is designed for customers who ride often and want access to lower pricing on eligible trips. The customer app or website estimator may show both a Standard Fareand a Member Fareso customers can compare pricing before booking.
Membership pricing does not guarantee the same price for every ride. Member fares may still vary based on distance, time, traffic, demand, stops, wait time, night pricing, peak pricing, driver availability, and other applicable ride conditions.
Standard Ride Pricing
For rides outside the short minimum-fare range, pricing may be calculated using estimated distance and estimated travel time. Longer rides, longer travel times, traffic conditions, and route changes may increase the fare. Add Stops and Wait Time; Additional charges may apply when a customer adds stops, changes the trip, keeps the driver waiting, or causes the ride to take longer than originally estimated.
Under current app pricing rules, add-stop fees may apply, and wait time may be charged at the current platform rate. Pricing rules may change over time.
Peak, High-Demand, and Night Pricing
Prices may increase during busy periods or when more drivers are needed on the road. This may include:
High-demand and night pricing help support driver availability and continued service during times when rides may be harder to fulfill.
Why the Final Fare May Change
The final fare may be different from the estimate if:
Pricing rules may change over time, and Rapido???s backend system records remain the source of truth for valid ride-related charges.
6. Saved Payment Method and Payment Authorization
Rapido may require a valid payment method before a ride is requested. By saving or using a card or other approved payment method with
Rapido, you authorize Rapido and its payment providers to place payment authorizations, store an approved payment method on your
account, capture valid ride-related amounts, and process permitted follow-up charges connected to your use of the platform.
??? The customer app currently ties a saved payment method to the Rapido account and stores payment-profile readiness plus Stripe
customer/payment-method references for future ride-related charging.
??? A saved payment method may be used for quoted ride charges, authorized payment holds, capture of valid charges, cancellation fees,
follow-up charges, unpaid balances, or other amounts permitted by these Terms.
??? A payment method already attached to another customer profile may be rejected by the platform's payment workflow.
7. Final Fare Settlement, Extra Charges, and Pending Amounts
Rapido Place to Place - Customer Terms & Conditions - Effective 01/01/2026
Rapido's current settlement model is designed to preserve the working authorization flow while allowing proper final settlement after a trip. If
the final fare is higher than the quoted fare, Rapido may charge only the difference as a separate second charge rather than using a hidden
authorization buffer.
??? If the final fare exceeds the quoted fare, Rapido may process a separate extra charge for the difference.
??? If that separate extra charge fails, the ride itself is not undone; the additional amount may be recorded as pending or unpaid until
resolved.
??? Rapido may retry, recover, or otherwise seek payment for legitimate unpaid or pending ride-related balances as permitted by law and
your payment authorization.
8. Cancellation and No-Show Charges
Customers may cancel rides through the platform, but cancellation charges may apply under Rapido's current backend rules. Rapido's
current cancellation-fee model is a separate-charge model and does not rely on hidden buffer charging.
??? Rapido's current rule applies a $5 cancellation fee only if at least 2 minutes have passed since the ride request started and a driver had
already been assigned or was on the way.
??? If those conditions are not met, no cancellation fee is intended under the current rule.
??? If a valid cancellation fee charge fails, the cancellation can still complete and the amount may remain pending or unpaid until resolved.
9. Customer Conduct and Safety Rules
Customers must behave lawfully, respectfully, and safely at all times when using the Rapido platform or participating in a Rapido-related ride.
??? No assault, threats, harassment, stalking, discrimination, verbal abuse, or damage to the driver or vehicle.
??? No illegal items, dangerous materials, or unlawful activity during a ride.
??? Seatbelts must be used where required by law.
??? In emergencies or immediate danger, call 911 first.
10. Location Sharing, Ride Tracking, and Communications
Rapido uses account, trip, and location data to coordinate rides, display tracking, and support customer, driver, and dispatch
communications. During active ride states, the platform may show ride progress, assigned-driver visibility, and ride-related chat.
??? The customer ride experience may include live ride tracking, tracking-only links, and driver-location visibility connected to the ride record.
??? Messages sent through Rapido ride chat go to the assigned driver, and dispatch may review or step in when needed.
??? Past ride conversations may become read-only after the ride is completed or canceled.
11. Incidents, Complaints, and Cooperation
Customers should promptly report crashes, threats, harassment, property damage, suspicious behavior, or other serious incidents through
Rapido support and, in emergencies, to law enforcement. Rapido may preserve logs, route data, timestamps, messages, screenshots, and
related evidence for safety, insurance, legal, or operational review.
??? Do not make false reports or fraudulent chargebacks.
??? Customers may be asked to provide truthful information, photos, witness details, police-report information, or other relevant evidence.
??? Rapido may cooperate with insurance carriers, law enforcement, or legal review where appropriate.
12. Service Limitations and Third-Party Systems
Rapido does not guarantee uninterrupted platform access, continuous availability, exact ETAs, identical pricing across all conditions, or
successful operation of third-party services used by the platform.
??? The platform relies in part on third-party systems such as mapping, phone-authentication, and payment-processing services.
??? Technical interruptions, demand conditions, route issues, weather, or driver availability may affect service.
13. Disclaimers and Limitation of Liability
Transportation by motor vehicle carries inherent risks, including delay, road hazards, accidents, misconduct, and third-party behavior. To the
fullest extent permitted by law, Rapido disclaims warranties and is not liable for indirect, incidental, special, consequential, exemplary, or
punitive damages arising from platform use or a ride.
??? To the fullest extent permitted by law, Rapido's aggregate liability for a claim arising from a specific ride shall not exceed the amount paid
for that ride, except where a different rule is required by law.
14. Indemnity by Users
To the fullest extent permitted by law, customers agree to indemnify and hold harmless Rapido Place to Place and its affiliates from claims
arising out of the customer's unlawful conduct, misuse of the platform, property damage, false reports, bad-faith chargebacks, or breach of
these Terms.
15. Dispute Resolution and Arbitration
By using the Rapido platform, the customer agrees that disputes shall be resolved through binding arbitration on an individual basis, and not
as a class, collective, or representative action, except where prohibited by law or where injunctive relief is legally available.
??? To the fullest extent permitted by law, jury-trial rights and class-action rights are waived.
16. Updates and Contact
Rapido may update these Terms from time to time. Continued use of the platform after an updated version becomes effective may constitute
acceptance of the revised Terms to the extent permitted by law. Customers may contact Rapido through official company communication
channels for support, ride issues, payment questions, incident reporting, or account-related concerns.
Customer Acknowledgment
By using the Rapido platform, requesting rides, or signing below, the customer acknowledges that the customer has read and agrees to the
applicable Rapido customer documents.

CUSTOMER PAYMENT AUTHORIZATION & CHARGES POLICY
1. Purpose and Scope
This Customer Payment Authorization & Charges Policy explains Rapido's current customer-side payment flow, including saved payment
methods, pre-ride authorization, separate extra charges, cancellation charges, and pending or unpaid balances.
2. Saved Payment Method Consent
By saving or using a payment method with Rapido, the customer authorizes Rapido and its payment providers to attach and maintain an
approved payment method on the customer's Rapido account for valid ride-related use.
??? The current customer app saves approved payment methods to the account after authorization and records payment-profile readiness
plus limited payment metadata such as card brand and last four digits.
??? A valid payment method may be required before a ride can be requested.
3. Pre-Ride Authorization and Quoted Fare
Before a ride request is submitted, the current payment flow may place a payment authorization or hold tied to the estimated fare shown by
the app. The quoted fare is based on the current route and selected options available at the time of request.
??? The current backend and customer flow are designed around an estimated-fare authorization followed by proper settlement after the
ride, rather than hidden buffer charging.
??? The backend remains the source of truth for valid settlement amounts.
4. Fare Components and Variable Pricing
Rapido's current pricing logic may apply mileage, trip time, minimum fares, membership pricing, add-stop fees, wait-time charges, peak
pricing, and night pricing when calculating the quoted or final amount.
??? The current customer pricing logic includes a $2 add-stop fee and a $0.50-per-minute wait charge.
??? The current pricing logic may also apply peak and night adjustments depending on route timing and applicable platform rules.
5. Final Settlement and Separate Extra Charges
If the final valid fare is higher than the quoted fare, Rapido may process only the difference as a separate follow-up charge. This is the current
second-charge model used by Rapido's backend settlement flow.
??? The current rule is to charge only the difference between the quoted fare and the final fare when an additional valid amount is owed.
??? If that separate extra charge fails, the ride is not broken or reversed solely because of the failed charge. The additional amount may
remain pending or unpaid until resolved.
6. Cancellation Fee Rule
Rapido's current backend cancellation rule is designed as a separate-charge model. A cancellation fee is intended only in defined
circumstances rather than on every cancellation.
??? The current rule applies a $5 cancellation fee only if at least 2 minutes have passed since the ride request started and a driver had
already been assigned or was on the way.
??? If those conditions are not met, no cancellation fee is intended under the current rule.
??? If a valid cancellation-fee charge fails, the cancellation can still complete and the amount may remain pending or unpaid until resolved.
7. Pending, Unpaid, and Follow-Up Balances
The customer authorizes Rapido to process valid follow-up charges, reattempt failed legitimate charges, or otherwise seek payment for
unpaid or pending ride-related balances where permitted by law and the governing customer documents.
??? This may include extra-charge balances, cancellation-fee balances, or other valid ride-related amounts reflected by Rapido's backend
settlement records.
??? Nothing in this policy authorizes arbitrary or unrelated charges outside legitimate platform use.
8. Refunds, Disputes, and Fraud Prevention
Rapido Place to Place - Customer Payment Authorization & Charges Policy - Effective 01/01/2026
Charge disputes, refund requests, and payment issues may be reviewed against ride logs, timestamps, route records, chat records,
cancellation status, and other operational evidence. False reports or bad-faith chargebacks may lead to account action and may be
addressed under Rapido's customer terms.
9. Acknowledgment
By accepting this policy, the customer acknowledges that the customer understands Rapido's current saved-payment and settlement model,
including pre-ride authorization, separate extra-charge handling, the defined cancellation-fee rule, and the treatment of pending or unpaid
balances.
